Terms of Service

These Terms of Service (“Terms”) establish the legally binding agreement between you (whether personally or on behalf of an enterprise entity) and Ribbsaeter Systems(“we”, “us”, or “our”), governing your access to and use of ribbsaetersystems.com (the “Site”), our technical publications, sovereign runtime artifacts, and any preliminary advisory communications.

By accessing or using the Site, purchasing digital monographs, or engaging in formal intake, you unequivocally agree to be bound by these Terms. If you do not agree, you are strictly prohibited from using the Site and must discontinue access immediately.

Bespoke enterprise engineering engagements, dedicated cluster infrastructure advisory, and managed runtime contracts are governed by a signed Statement of Work (SOW) or Master Services Agreement (MSA). In the event of any direct conflict between an executed SOW and these general Terms, the executed SOW shall prevail.

Ribbsaeter Systems is a frontier AI systems engineering, distributed infrastructure, deterministic compiler runtime (ZeroSlop™ Engine & Invariant Runtime™), and executive strategic advisory house headquartered in Zurich, Switzerland, operating across Zurich, Amsterdam, Eindhoven, and global financial hubs.

We engineer sub-millisecond AI inference runtimes, disaggregated hardware topologies, deterministic CI airlocks, and mission-critical enterprise platforms. All technical materials, architectural benchmarks, and Roofline diagrams displayed on the Site are for technical analysis and institutional demonstration purposes. Nothing on this Site constitutes an unconditional offer or guarantee of resource allocation without a countersigned SOW.

You agree to access the Site and its resources solely for legitimate, authorized purposes. To protect our sovereign computing infrastructure and intellectual integrity, you are strictly prohibited from:

• Reverse-engineering, decompiling, disassembling, probing, or introspecting our runtime binaries, source-level traversal algorithms, logit-mask arrays, or compiler airlock mechanics;
• Scraping, crawling, harvesting, or extracting content, benchmarks, monographs, or architectural schematics via automated mechanisms (including bots, spiders, or headless crawlers) without explicit written authorization;
• Ingesting, tokenizing, or utilizing our monographs, case studies, or proprietary benchmarks for training, fine-tuning, evaluating, or distilling any machine learning or large language model;
• Attempting to bypass, circumvent, or disable any security mechanism, rate limiter, payment wall, or authorization token governing our digital assets;
• Engaging in unauthorized network scanning, fuzzing, or denial-of-service attempts against our edge infrastructure;
• Misrepresenting your identity, enterprise affiliation, or authority when submitting executive advisory requests or purchasing digital monographs.

The Site, its design architecture, typography, brand assets, technical whitepapers, monographs (including THE MEMORY WALL and our sovereign engineering monographs), Roofline equations, benchmarks, vector schematics, and proprietary software marks—including ZeroSlop™, The Invariant Runtime™, and Ribbsaeter Systems—are the exclusive intellectual property of Ribbsaeter Systems and Patrick Ribbsaeter, protected by Swiss federal law, international copyright conventions, and sovereign trade dress treaties.

Digital Monograph License: Upon verified purchase of a digital monograph, Ribbsaeter Systems grants the individual purchaser a personal, non-exclusive, non-transferable, single-seat license to read and consult the publication for professional development. You may strictly not redistribute, resell, republish, broadcast, lease, or syndicate our publications in whole or in part to any third party or public repository. Enterprise multi-seat distribution rights require an explicit corporate site license.

We defend our intellectual property and proprietary trade secrets with zero compromise. Any unauthorized appropriation, clean-room cloning, or unlicensed corporate syndication will be met with immediate legal enforcement in Zurich, Switzerland, including claims for statutory damages, unjust enrichment disgorgement, and immediate injunctive relief.

Ribbsaeter Systems adheres to an uncompromising sovereign operating standard designed to eliminate calendar inefficiency, speculative discovery, and unvetted advisory meetings:

• Zero Speculative Meetings: We do not conduct unpaid introductory calls, speculative pitches, or exploratory coffee chats. All technical discovery is conducted asynchronously via structured requirements intake.
• The Deposit Filter: Strategic advisory sessions, architecture reviews, and dedicated partner consultations require a verified upfront reservation deposit ($1,000 flat) or pre-approved institutional retainer before any calendar allocation is granted.
• Non-Refundable Retainer: Reservation deposits secure dedicated principal partner preparation and research time and are non-refundable once calendar confirmation has occurred, credited against the initial SOW upon contract execution.

• Digital Publications: Flat one-time digital purchase fulfilled instantly upon payment processing. All prices are in USD unless otherwise specified.
• Enterprise Engagements:Fixed Milestone or Time & Materials retainers invoiced under Net 14 terms via official Swiss / EU corporate invoices, exclusive of applicable VAT or withholding taxes unless stated.
• PCI-DSS Processing: All payment transactions are executed securely via Stripe under certified PCI-DSS Level 1 compliance. Ribbsaeter Systems does not store or handle raw payment card numbers.
• Corporate Expense Pre-Approval: Digital monographs are specifically priced under $50 to facilitate frictionless reimbursement under corporate professional development policies.

The Site, its contents, publications, and architectural benchmarks are provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, whether express, implied, or statutory. While our technical treatises and Roofline models are rigorously validated against physical silicon and production runtimes, we make no representation that your specific hardware clusters or software configurations will achieve identical benchmark metrics without custom kernel tuning.

We do not warrant that access to the Site will be uninterrupted or error-free, though we maintain continuous security and infrastructure monitoring to uphold operational uptime.

To the maximum extent permitted under applicable Swiss and international law, Ribbsaeter Systems, its founders, partners, engineers, and affiliates shall not be liable for any indirect, incidental, special, punitive, exemplary, or consequential damages whatsoever—including but not limited to loss of profits, loss of data, loss of goodwill, cluster downtime, cloud provider billing surges, or business interruption—arising out of or in connection with your use of the Site, reliance on monograph benchmarks, or engagement with our advisory services.

In all circumstances, our maximum aggregate liability arising out of or related to these Terms, the Site, or any digital publication purchase shall be strictly capped at the amount actually paid by you to Ribbsaeter Systems for the specific digital product or service during the three (3) months immediately preceding the event giving rise to liability, or CHF 100 (one hundred Swiss Francs), whichever is greater.

Nothing in these Terms excludes or limits liability for intent (Vorsatz) or gross negligence (grobe Fahrlässigkeit) as mandated under Article 100 Paragraph 1 of the Swiss Code of Obligations.

You agree to defend, indemnify, and hold harmless Ribbsaeter Systems, its founder Patrick Ribbsaeter, officers, partners, agents, and contractors from and against any claims, liabilities, damages, losses, costs, and legal expenses (including reasonable attorney fees) arising from: (a) your breach of these Terms; (b) your unauthorized reproduction, reverse-engineering, or distribution of our intellectual property; or (c) your violation of applicable laws or third-party rights.

You acknowledge that any violation of our intellectual property rights, non-disclosure covenants, or reverse-engineering prohibitions causes irreparable harm to Ribbsaeter Systems for which monetary damages alone would be inadequate. Consequently, Ribbsaeter Systems shall be entitled to seek immediate preliminary and permanent injunctive relief, orders of specific performance, and asset sequestration in any competent court of law without the requirement to post bond or prove actual financial damages.

These Terms, their interpretation, and any dispute or claim arising out of or in connection with them shall be governed exclusively by and construed in accordance with the substantive laws of Switzerland (specifically the Swiss Code of Obligations, Obligationenrecht), expressly excluding conflict-of-law rules and the United Nations Convention on Contracts for the International Sale of Goods (CISG).

Any dispute, controversy, or claim arising out of or relating to these Terms or their breach, termination, or invalidity shall be submitted to the exclusive jurisdiction of the competent courts of Zurich, Switzerland (Commercial Court of the Canton of Zurich / Handelsgericht des Kantons Zürich).

If any provision of these Terms is determined by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be severed or modified to the minimum extent necessary to render it valid and enforceable, and the remaining provisions shall continue in full force and effect. These Terms, together with our Privacy Policy and any executed Statement of Work, constitute the complete and exclusive agreement between the parties regarding the subject matter herein.
