Terms of Service

These Terms of Service (“Terms”) govern your use of the Ribbsaeter Systems website at ribbsaetersystems.com (the “Site”) and any inquiry or engagement that follows. By using the Site you agree to these Terms. If you do not agree, please do not use the Site.

Engagements for paid services are governed by a separate written contract or Statement of Work (SOW) signed by both parties. Where the SOW conflicts with these Terms, the SOW prevails.

Ribbsaeter Systems is a software design agency. We design, build and maintain web and mobile applications, brand and product systems, and related digital infrastructure. The Site presents our capabilities, public demo library and engagement models.

Anything described on the Site is informational and not a binding offer. A binding engagement only exists once both parties sign a contract or SOW.

You agree not to:

• scrape, crawl or otherwise extract content at industrial scale;
• reverse-engineer or attempt to bypass technical controls;
• upload malicious code, spam, or content infringing third-party rights;
• use the Site to harass, defame or harm any person;
• impersonate any person or entity or misrepresent your affiliation.

All content on the Site — text, graphics, code, logos, the Meridian identity system, and the demo library under /demos — is owned by Ribbsaeter Systems or its licensors and is protected by copyright, trademark and design rights.

The demo library is published as a public capability portfolio. You may reference it but may not copy, redistribute, or claim authorship of any demo. Bespoke deliverables produced under an SOW are transferred or licensed to the client according to that SOW.

A typical engagement progresses in four stages: discovery, proposal/SOW, delivery, and handover. Pricing models include Fixed Budget, Time & Materials, Weekly Budget and Dedicated Team and are described under /pricing.

Each engagement is governed by an SOW that specifies scope, timeline, fees, payment terms, change-control, IP ownership, warranties, liability caps, and governing law.

• Fixed price: typically 30% kickoff, 40% mid-project, 30% on delivery.
• Time & Materials / Dedicated Team: monthly invoicing based on logged hours.
• Net 14 unless otherwise agreed. Late payments accrue statutory interest under applicable law.
• VAT and other applicable taxes are added where required.

Client engagements are delivered under mutual non-disclosure. We do not publish client names, screenshots or metrics without explicit written consent. We expect the same standard applied to material we share with you during proposal stages.

We provide Site content “as is” without warranty of any kind. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components, although we work hard to keep it so.

Warranties for paid services are set out in the applicable SOW. In general, we warrant that delivered work will materially conform to the agreed specification for 30 days after delivery, and we will fix conformance defects at no charge during that period.

To the maximum extent permitted by law, Ribbsaeter Systems is not liable for indirect, incidental, special, consequential or punitive damages, lost profits, lost revenue, lost data or business interruption arising out of or relating to use of the Site.

For paid engagements, our aggregate liability is capped at the fees actually paid by the client to us under the relevant SOW in the twelve (12) months preceding the event giving rise to the claim, unless a higher cap is expressly agreed in writing.

Nothing in these Terms limits liability that cannot be limited under mandatory law (e.g. fraud, gross negligence, personal injury caused by us).

You agree to indemnify Ribbsaeter Systems against third-party claims arising from (i) your breach of these Terms, (ii) content or materials you provide to us, or (iii) your unlawful use of the Site.

We may suspend or terminate access to the Site at any time, including for breach of these Terms. Termination of paid engagements is governed by the SOW.

These Terms are governed by the laws of Switzerland, without regard to conflict-of-law rules. Disputes will be submitted to the exclusive jurisdiction of the competent courts of Zurich, Switzerland, except where mandatory consumer-protection law provides otherwise.

We may update these Terms from time to time. Material changes will be announced on this page with a new “Last updated” date. Continued use of the Site after changes take effect constitutes acceptance of the revised Terms.
